One Person Company (OPC) Registration in Ranchi
Run your business alone with the protection and credibility of a company. An OPC needs just one member, one director and one nominee.
A company for the solo entrepreneur
A One Person Company (OPC) lets a single individual own and run a company with limited liability and a separate legal identity, without needing a partner or a second shareholder.
It suits freelancers, consultants, small traders and first-time founders who want the credibility of a company with a lighter compliance load than a private limited company. A nominee is named at the time of registration to take over if the owner is unable to continue.
What you need to qualify
- The sole member must be a natural person who is an Indian citizen and resident in India (stayed 120 days or more in the previous financial year)
- One nominee must be named, who is also a natural person, an Indian citizen and resident in India, and who gives written consent
- A person can be the member of only one OPC, and the nominee of only one OPC, at a time
- The sole member can also be the sole director
- A name ending in “(OPC) Private Limited” and a registered office address in India
- Since the 2021 changes, there are no mandatory conversion limits. You can convert to a private or public company voluntarily

Common questions
Who can register an OPC?
Only a natural person who is an Indian citizen and resident in India can form an OPC. Companies, LLPs and foreign nationals cannot. One person can be the member of only one OPC at a time.
Do I need a nominee?
Yes. You must name one nominee at the time of registration, who gives written consent. The nominee takes over as the member if you die or become incapacitated. You can change the nominee later.
Can an OPC have more than one director?
Yes. An OPC has one member, but it can appoint additional directors if needed. The member can also be the only director.
Can an OPC take in investors or partners?
Not while it has only one member. To bring in other shareholders you would convert the OPC into a private limited company, which you can do whenever you choose.
OPC or sole proprietorship?
A proprietorship has no separate legal identity and the owner is personally liable. An OPC gives limited liability and more credibility, with more compliance. We help you decide based on your plans.
