Company Annual Filing (ROC) in Ranchi
Keep your company in good standing with the Registrar of Companies. We prepare and file your annual returns and financial statements on time, and clear old pending filings.
Compliance every year, whether or not you did business
Every company registered under the Companies Act, 2013 must file annual forms with the Registrar of Companies (ROC), even if it had no income or activity during the year. The two main filings are AOC-4 for financial statements and MGT-7 (or MGT-7A for OPCs and small companies) for the annual return.
Missing the due dates leads to an additional fee of ₹100 per day for each form, with no upper limit, and long-term default can lead to disqualification of directors and strike-off of the company. We manage the full cycle: AGM support, accounts, filings and follow-up.
Which companies must file
- Every private limited company, public company, Section 8 company and producer company
- One Person Companies, which file MGT-7A and do not need to hold an AGM
- Companies with no business or income, because nil filings are still mandatory
- Companies with pending filings from earlier years
- Directors who want to avoid late fees, disqualification and strike-off

Common questions
Do I need to file if my company had no business?
Yes. A company with no income must still hold its meetings and file AOC-4 and MGT-7 every year. Filing nil returns is mandatory.
What is the penalty for late ROC filing?
An additional fee of ₹100 per day applies for each form until it is filed, with no upper limit. Prolonged default can also lead to director disqualification and strike-off, and statutory penalties may apply.
What is the difference between AOC-4 and MGT-7?
AOC-4 carries the company’s financial statements. MGT-7 is the annual return with details of shareholders, directors and meetings. OPCs and small companies file MGT-7A.
My company has filings pending for several years. Can you help?
Yes. We review all missing years, prepare the filings and pay the applicable fees. The MCA also sometimes offers one-time relief schemes for late filers, and we check whether one is currently open.
Do OPCs need to hold an AGM?
No. An OPC does not need to hold an AGM, but it must file its financial statements and annual return.
Is an audit compulsory for every company?
Yes. Every company must appoint an auditor and have its accounts audited. Our auditor appointment service covers the process.
This page is general guidance based on the Companies Act, 2013 and MCA procedures as we understand them. Forms, fees, due dates and relief schemes change, so we confirm the latest position for your company before we begin.
