Winding-up (Closure) of a Company in Ranchi

Do not leave an unwanted company to run up penalties. We help you close it properly, through strike-off, dormant status or voluntary liquidation, as suits your case.

Overview

Close it cleanly and protect the directors

A company that is no longer needed does not disappear on its own. It must still file returns and meet compliance every year, and defaults lead to heavy late fees, disqualification of directors and eventual strike-off by the Registrar.

There are different ways to close a company. A company with no business and no significant transactions can apply to be struck off. One that wants to keep its name but pause activity can seek dormant status. A company with assets or liabilities may need voluntary liquidation. We review your situation and take you through the right route.

Who it is for

When to consider closure

  • A company that has not carried on business for a long time
  • Founders who have decided to stop the business or merge operations elsewhere
  • Companies with pending filings that want to close rather than keep paying penalties
  • Companies that want to stay registered but pause activity (dormant status)
  • Companies with assets or liabilities that need an orderly liquidation

FAQs

Common questions

What is strike-off?

It is the removal of a company’s name from the register by the Registrar, which dissolves the company. A company can apply for voluntary strike-off if it has not carried on business and has no significant transactions, subject to conditions.

Can I close a company that has pending filings?

Usually pending filings need to be addressed first, and we help bring them up to date. The MCA also sometimes offers one-time relief schemes, and we check whether one is open.

What is dormant status?

A company that is not carrying on business can apply to be treated as dormant, which reduces compliance while it stays on the register. It suits founders who may revive the business later.

What if my company has assets or loans?

Then strike-off is generally not suitable. Voluntary liquidation is the route for such companies and is a more involved process. We guide you through it with the right professionals.

Do I have to deal with taxes before closure?

Yes. Income tax, GST and other registrations should be closed out, and returns filed, so there are no dues left in the directors’ names.

This page is general guidance based on the Companies Act, 2013 and MCA procedures as we understand them. Forms, fees, due dates and relief schemes change, so we confirm the latest position for your company before we begin.
