Change in Director in Ranchi

Add a new director or handle a resignation without compliance gaps. We take care of the resolutions, DIN, consent forms and the filing with the Registrar.

Overview

Keep your board records correct and up to date

Companies change directors for many reasons: a new investor, a retirement, a resignation or the need for a resident director. Each change must be recorded with the Registrar of Companies on time, and the company’s records must match.

Errors in consent forms, resolutions or the 30-day filing can lead to penalties and problems later, such as bank or compliance issues. We prepare the documents, arrange the DIN and DSC, and file everything for you.

FAQs

Common questions

How soon must a director change be filed?

Form DIR-12 must generally be filed within 30 days of the appointment, resignation or other change. Late filing attracts additional fees.

How does a director resign?

The director gives written notice to the company, and the company files DIR-12. The director can also file Form DIR-11 with the Registrar. We handle the filings.

Does a new director need a DIN?

Yes. Every director needs a Director Identification Number, which can be applied for through the appointment process, and a DSC to sign forms.

Do shareholders have to approve the appointment?

Often yes. Depending on the company and director type, shareholder approval at a general meeting may be needed, with MGT-14 filing for certain resolutions. We check this for your case.

What happens if the only resident director resigns?

A company must always have at least one resident director, so a replacement must be arranged. We plan this in advance so you stay compliant.

This page is general guidance based on the Companies Act, 2013 and MCA procedures as we understand them. Forms, fees, due dates and relief schemes change, so we confirm the latest position for your company before we begin.
