LLP (Limited Liability Partnership) Registration in Ranchi
Combine the flexibility of a partnership with the protection of limited liability. We manage the entire LLP registration on the MCA portal.
Protect your personal assets without a company’s heavy compliance
A Limited Liability Partnership (LLP) is a separate legal entity under the LLP Act, 2008. Partners’ liability is limited to their agreed contribution, and the business is run according to an LLP agreement that you customise.
LLPs generally have lighter compliance than private limited companies, with no mandatory board or general meetings. Incorporation is done online on the MCA portal using the FiLLiP form. We handle the digital signatures, name approval, filing and your LLP agreement.
What you need to register an LLP
- At least 2 partners, with no upper limit on the number of partners
- At least 2 designated partners who are individuals, with at least one resident in India
- A registered office address in India
- A unique name ending with “LLP”, not similar to an existing name or trademark
- An LLP agreement, which must be filed within 30 days of incorporation
- A Digital Signature Certificate for each designated partner
Why this works for you
Limited liability
Partners are not personally liable for the LLP’s debts beyond their contribution.
Separate legal entity
The LLP owns assets and contracts in its own name.
Flexible agreement
Profit sharing and roles are set in your own LLP agreement.
Lighter compliance
Fewer formalities than a private limited company.

Common questions
LLP or partnership firm?
An LLP gives limited liability and separate legal identity, while a partnership has unlimited liability. An LLP has more compliance but generally less than a company.
Do I need an LLP agreement?
Yes. It sets out the rights and duties of partners, and it must be filed with the Registrar within 30 days of incorporation. Without a proper agreement, default rules apply, which may not suit you.
Is there a minimum capital requirement?
There is no minimum capital requirement. You decide the contribution of each partner, and we help you choose it sensibly.
Can a foreign national or NRI be a partner?
Yes, subject to FEMA and other rules, but at least one designated partner must be resident in India.
Can I convert my partnership firm to an LLP?
Yes. A registered partnership firm can be converted into an LLP by following the prescribed procedure. We can help.
Must an LLP file returns if it had no business?
Yes. Annual filings are mandatory even for an LLP with no activity. See our LLP annual compliance service.
This page is general guidance as we understand the Indian Partnership Act, 1932, the LLP Act, 2008 and MCA procedures. Stamp duty, Registrar fees, forms and due dates change and vary by state, so we confirm the latest requirements for your case before we begin.
