Amendment in Partnership Deed in Ranchi

When your firm changes, your deed should change too. We draft supplementary or reconstituted deeds and update the Registrar and your other records.

Overview

Keep your deed up to date

A partnership deed records the terms agreed by the partners. When something important changes, such as a new partner joining, a partner leaving or a change in profit sharing, the change should be recorded in writing.

This is usually done through a supplementary deed or by reconstituting the firm with a fresh deed. For a registered firm, the change should also be notified to the Registrar of Firms, and your PAN, bank, GST and other records need updating. We manage all of this.

When it is needed

Common reasons for amendment

  • Admission of a new partner
  • Retirement, death or exit of an existing partner
  • Change in profit and loss sharing ratio
  • Change in capital, interest or remuneration terms
  • Change in the firm’s name, address or nature of business
  • Any other change in the terms agreed in the original deed

FAQs

Common questions

Do all partners need to agree to the amendment?

Generally yes. Changes need the consent of all partners unless the original deed provides otherwise.

Do I have to tell the Registrar of Firms?

If the firm is registered, changes such as a change of partners, name or address should be notified to the Registrar of Firms. The rules and time limits depend on your state, and we confirm them.

What happens when a partner retires?

The deed is amended or the firm is reconstituted. Settlement of the retiring partner’s account and public notice are important to limit future liability. We guide you on both.

Does an amendment deed need stamp paper?

Usually yes, and the amount depends on your state and the nature of the change. We confirm it for your case.

Can I amend the deed of an unregistered firm?

Yes. You can amend an unregistered firm’s deed, and you can also choose to register the firm at the same time.

What about LLPs?

Changes in an LLP agreement are handled through filings with the Registrar of Companies, such as Form 3 and Form 4. We handle those too.

This page is general guidance as we understand the Indian Partnership Act, 1932, the LLP Act, 2008 and MCA procedures. Stamp duty, Registrar fees, forms and due dates change and vary by state, so we confirm the latest requirements for your case before we begin.
