Shareholders Agreement in Ranchi
Protect your company and your stake. We draft shareholders agreements that set out ownership, control, transfers, exits and how disputes are handled.
The rulebook for owners
A shareholders agreement is a private contract between a company’s shareholders, often with the company too. It sets out how the company will be governed and how shares can be sold, beyond what the Articles say. It is especially valuable when there are several founders or an investor.
We draft clauses on board composition, key decisions needing approval, pre-emption and rights of first refusal, tag-along and drag-along rights, vesting and leaving founders, non-compete, deadlock and exit. For stronger enforceability, key terms should also be reflected in the Articles of Association.

Common questions
Do we need a shareholders agreement if we have Articles?
The Articles bind the company and its members, but a shareholders agreement allows more detailed and confidential commercial terms. For best enforceability, key terms should be in both.
What are tag-along and drag-along rights?
Tag-along lets minority shareholders join when a majority sells. Drag-along lets majority holders force minority holders to sell in an agreed sale of the company.
What is a right of first refusal?
Before selling shares to an outsider, a shareholder must first offer them to the existing shareholders on the same terms.
What happens when founders disagree?
A good agreement includes a deadlock procedure, such as escalation, mediation or a buy-sell mechanism.
Do investors insist on one?
Almost always. Investors usually ask for a shareholders agreement along with the subscription agreement.
